These terms govern use of the RelayGate managed plane and any commercial subscription. The self-host binary itself is licensed under Apache 2.0 (core) and MIT (drivers); these terms govern only the managed services we operate.
Service means the RelayGate managed plane, including the hosted gateway, the observability console, the hosted vault, and the developer dashboard. Binary means the open-source RelayGate binary, separately licensed. Customer means the entity that has accepted these terms. End User means an agent, service, or person that interacts with the Service through the Customer's account.
Subject to these terms and the applicable order form, Good Ventures Lab Inc. grants Customer a non-exclusive, non-transferable, worldwide right to use the Service during the term. The Binary is separately licensed under Apache 2.0 (core) and MIT (drivers); these terms do not limit or amend those licenses.
Customer agrees not to use the Service to: facilitate illegal activity; circumvent rate limits at backend providers; impersonate other tenants; submit fraudulent receipts; mine, scrape, or republish other tenants' policy or telemetry data; or attack the Service through DoS, sandbox escape, or replay.
Backend provider terms apply transitively. When you route requests through RelayGate to OpenAI, Anthropic, or any other backend, your use must additionally comply with that provider's terms. RelayGate does not assume responsibility for upstream-provider policy violations on traffic that passes through.
RelayGate may suspend access for violations, with notice where reasonable. We will not suspend in a way that orphans an in-flight request; we will let in-flight requests complete or fail-safe.
Fees are stated in the order form. The managed tier is a base subscription plus per-million-request overage above the included allowance, both itemized on every monthly invoice. Disputed invoices: notify within 30 days of invoice date; we will hold collection on the disputed line item until resolved.
Late payment: 1.5% per month or the maximum allowed by law, whichever is lower. Repeated late payment may result in suspension after 30 days' notice.
The agreement runs for the term in the order form, with automatic renewal unless either party gives 30 days' written notice. Either party may terminate for material breach uncured 30 days after written notice. On termination, Customer's data is exportable for 60 days, after which it is deleted (except where retention is required by law).
Each party will protect the other's confidential information with the same care it uses for its own confidential information of like sensitivity, and not less than reasonable care. Confidentiality survives termination for three years.
Good Ventures Lab Inc. warrants that the Service will materially conform to the published documentation. The Service is otherwise provided "as is." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by law.
Except for breach of confidentiality, indemnity obligations, willful misconduct, or fraud, neither party is liable for indirect, incidental, consequential, or punitive damages. Each party's aggregate liability is capped at the fees paid by Customer in the 12 months preceding the event.
Good Ventures Lab Inc. will defend Customer against third-party IP claims arising from Customer's authorized use of the Service, and pay damages awarded by a court of competent jurisdiction or in a settlement we approve. Customer will defend us against claims arising from Customer's misuse, violation of acceptable-use policy, or violation of law.
These terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-law rules. Disputes are resolved in the courts of British Columbia. Customers outside Canada may receive jurisdiction-specific addenda where required by law.
Material changes to these terms are announced on the changelog and emailed to billing contacts at least 30 days in advance. Continued use after the effective date constitutes acceptance.
